Terms of Service

These Terms of Service (“Terms”) govern your use of the ThousandKernel mobile application and related websites (together, the “App”), operated by 2453395 Alberta Ltd. (“ThousandKernel”, “we”, “us”). By downloading, installing or using the App, you agree to these Terms. If you do not agree, please do not use the App.

1. What the App does

ThousandKernel uses your device’s camera and on-device image analysis to estimate the number of seeds visible in a photograph. From that estimate and a weight you enter, it calculates a thousand kernel weight (TKW) and a suggested seeding rate based on inputs you provide, such as target plant population, expected germination and expected seedling survival.

All image analysis runs on your device. Photographs are not uploaded to us or to any third party as part of the counting process.

2. Agronomic disclaimer — please read

The App is a measurement aid. It is not agronomic advice.

Seed counts produced by the App are estimates generated by a machine learning model. They may be inaccurate, and accuracy varies with lighting, background, seed spacing, seed type, seed treatment, damage, and photo quality.
Thousand kernel weight and seeding rate outputs are arithmetic results calculated from the App’s seed count and from values you enter. Errors in any input carry through to the result.
Appropriate seeding rates depend on many factors the App does not know or assess — including field conditions, soil moisture and temperature, seeding date and depth, equipment calibration, variety, disease and pest pressure, weather, and your own agronomic judgment.
You are solely responsible for the seeding rates you use and for all decisions made on your operation. Verify results against your own manual counts and, where appropriate, consult a qualified agronomist or an accredited seed testing laboratory.
The App is not a substitute for official seed testing. It does not provide germination, vigour, purity, disease or grading results.

3. Licence and acceptable use

We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App for your own farming or business purposes, subject to these Terms. You agree not to:

reverse engineer, decompile or attempt to extract the App’s models, weights or source code;
copy, resell, sublicense or redistribute the App or its outputs as a competing product or service;
use the App in any way that breaches applicable law, or that interferes with its normal operation.

4. Your content

You retain ownership of the photographs and data you create using the App. Because analysis happens on your device, we do not receive your photographs unless you choose to send them to us — for example, by emailing them to our support address. If you do send us photographs or test data, you grant us permission to use them to diagnose the issue you have raised and to improve the App’s accuracy, including as training data. You may ask us to stop using material you have sent by contacting us.

5. Intellectual property

The App, its name, branding, interface, underlying software and detection models are owned by ThousandKernel or its licensors and are protected by copyright and other laws. These Terms do not transfer any ownership to you.

6. Availability and changes

We may update, change, suspend or discontinue the App or any of its features at any time, with or without notice. We may also update these Terms. Where changes are material, we will make the updated Terms available in the App or on our website, and continued use after that constitutes acceptance.

7. No warranty

The App is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that any count, calculation or recommendation it produces will be accurate or suitable for your purposes.

8. Limitation of liability

To the maximum extent permitted by law, ThousandKernel and 2453395 Alberta Ltd. will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, yield, crop, data, or business opportunity, arising out of or relating to your use of, or inability to use, the App — including any loss arising from reliance on a seed count, thousand kernel weight, or seeding rate produced by the App.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the App will not exceed the greater of (a) the total amount you paid us for the App in the twelve months before the event giving rise to the claim, or (b) CAD $50.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

9. Indemnity

You agree to indemnify and hold harmless ThousandKernel and 2453395 Alberta Ltd. from any claims, losses, liabilities and expenses arising out of your use of the App or your breach of these Terms.

10. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms.

11. Termination

You may stop using the App at any time by deleting it from your device. We may suspend or terminate your access if you breach these Terms. Sections 5, 7, 8, 9 and 12 survive termination.

12. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict of laws rules. You agree to the exclusive jurisdiction of the courts of Alberta, subject to any mandatory consumer protection rights available to you where you live.

13. App store terms

If you obtained the App from the Apple App Store or Google Play, your use is also subject to that store’s terms. These Terms are between you and ThousandKernel only — not with Apple or Google, neither of which is responsible for the App or for providing support for it. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
